Section 01
Agreement to these terms
These Terms govern access to and use of the LEGERIS marketing site, audit platform, related workflows, and any services made available by LEGERIS unless a separately executed agreement says otherwise.
By using the service, the customer represents that it has authority to submit the relevant documents and bind the organization it represents.
Section 02
Service description
LEGERIS provides evidence-linked invoice audit technology designed to help finance, procurement, and operations teams review invoices, contracts, and supporting documents for visible discrepancies.
The platform may use AI-assisted extraction and interpretation, but deterministic controls govern final structured financial logic where the system produces authoritative findings.
Section 03
Accounts and authorized users
Customers are responsible for their users, credentials, access decisions, uploaded materials, workspace configuration, and activity under their account.
Customers must promptly notify LEGERIS of suspected unauthorized access or misuse.
Section 04
Customer data and permissions
Customers grant LEGERIS the limited rights needed to host, process, analyze, display, secure, and support submitted materials for service delivery.
Customers are responsible for ensuring that submitted documents may lawfully be provided to LEGERIS for the requested audit workflow.
Section 05
IP and data ownership
Client data ownership. The Client retains all right, title, and interest in and to the Client Data submitted to LEGERIS in connection with an engagement, including uploaded documents, invoice data, contract data, audit evidence, and the audit outputs produced for the Client. LEGERIS receives only a limited, non-exclusive, non-transferable, royalty-free licence to host, process, and analyse the Client Data solely as necessary to perform the contracted services, for the duration of the engagement plus any retention period expressly agreed. LEGERIS platform ownership. LEGERIS retains all right, title, and interest in and to the LEGERIS platform, including without limitation the audit pipelines, deterministic engines, finding-generation methodology, software and source code, user interfaces, documentation, models, templates, system prompts, and any modifications or derivative works thereof. No provision of these Terms transfers ownership of the LEGERIS platform to the Client. Anonymised aggregate insights. Notwithstanding the foregoing, LEGERIS retains all right, title, and interest in and to anonymised, aggregated insights, statistics, patterns, and benchmarks derived from audit work performed across multiple client engagements, where such anonymised aggregates do not identify the Client or any specific engagement. LEGERIS may use such anonymised aggregates for product improvement, industry research, cross-client benchmarking offerings, and other lawful business purposes, including disclosure to third parties in aggregated form.
Section 06
AI-assisted workflows and deterministic controls
AI-assisted features may support extraction, classification, summarization, and reviewer acceleration. They do not replace customer judgment, vendor communication, or professional review.
Financial arithmetic, final metrics, status governance, and action availability should be treated as backend-governed product outputs rather than model opinion.

No professional advice
LEGERIS provides audit-support technology and evidence organization, not legal, tax, accounting, or procurement advice.
Section 08
Acceptable use
Users may not misuse the service, probe it without authorization, submit malicious content, infringe third-party rights, attempt to bypass access controls, or use the platform to make unsupported allegations.
LEGERIS may suspend access where necessary to protect the platform, customers, vendors, or legal obligations.
Section 09
Confidentiality
Each party will protect non-public information received from the other party using at least a reasonable degree of care, will use it only for the purposes of the relationship, and will not disclose it to third parties except to personnel and advisers who need it for those purposes and who are bound by equivalent confidentiality obligations.
A separately executed non-disclosure agreement, and, where personal data is processed, a data processing agreement, govern in the event of any conflict with this public summary. Copies are available on request to legal@legeris.ai.
Section 10
Fees, pilots, and commercial terms
Fees, pilot scope, renewal terms, usage limits, payment timing, and applicable taxes are governed by the order form, statement of work, or written agreement executed for a given engagement. Unless that agreement states otherwise, fees are exclusive of value-added and other applicable taxes, which are the customer’s responsibility where lawfully chargeable.
Where no separately executed agreement is in place, access to the platform is provided for evaluation only and creates no payment obligation and no commitment by either party to proceed.
Section 11
Disclaimers and liability
The service is provided on an “as available” basis. LEGERIS provides forensic invoice-audit technology and evidence organisation; its findings are informational outputs for the customer’s internal control and do not constitute a statutory audit opinion, a legal opinion, or accounting, tax, or compliance advice. The customer is solely responsible for verifying findings and for any payment, dispute, or supplier action it chooses to take.
Nothing in these Terms excludes or limits either party’s liability for death or personal injury caused by its negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited under the laws of England and Wales.
Subject to the paragraph above, neither party is liable for any indirect, incidental, special, or consequential loss, or for any loss of profit, revenue, anticipated savings, data, or goodwill, whether arising in contract, tort (including negligence), or otherwise. Each party’s total aggregate liability arising out of or in connection with the service is limited to the total fees paid or payable by the customer for the service in the twelve (12) months preceding the event giving rise to the liability, or, where the applicable order form or written agreement states a different cap, to that stated amount.
Section 12
Governing law and contact
Unless a separately executed agreement states otherwise, these Terms and any dispute or claim arising out of or in connection with them are governed by the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the courts of England and Wales.
